These terms govern your use of Xoventra. They are written to be read, not to be survived. If anything here is unclear, email contact@xoventra.com and we will explain it in plain language.
1. Who we are
Xoventra is a social network for founders and investors, operated from Nepal. In these terms, “Xoventra”, “we”, and “us” mean the operators of xoventra.com. “You” means the person using the platform, whether as a founder, an investor, or a visitor.
2. Who may use Xoventra
You must be at least 18 years old and legally able to enter a contract. You must give accurate information when you register, and keep it accurate. Accounts are personal - you are responsible for everything done under yours, including keeping your password secure. If you register on behalf of a company or fund, you confirm you are authorised to do so.
3. What Xoventra is - and what it is not
This is the most important section on this page.
- We are not a broker, dealer, adviser, or intermediary. We do not offer, sell, solicit, or recommend securities, and we take no part in any investment decision.
- We give no financial, legal, or tax advice. Nothing on Xoventra - including thesis matching, discovery rankings, or any signal we show you - is a recommendation to invest or a judgement of a company's quality.
- We are not party to any deal. Terms, valuation, diligence, documentation, payment, and settlement happen entirely between founders and investors, off-platform. We are not an escrow, we do not hold or transfer funds, and we take no percentage of any raise.
- We do not verify what users post. Traction figures, revenue, milestones, credentials, and fund sizes are self-reported. Do your own diligence before acting on anything you read here.
Investing in early-stage companies carries a high risk of total loss and your capital is generally illiquid. You are solely responsible for your own decisions.
4. Your content
You keep ownership of everything you post - your pitch, updates, milestones, media, and messages. By posting, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and display that content for the purpose of operating and promoting Xoventra. That licence ends when you delete the content, except for copies already made by others and for backups we retain for a limited period.
You confirm you have the right to post what you post, and that it does not infringe anyone else's rights or breach any confidentiality or regulatory obligation you are under. Only publish information about your company that you are willing to have read publicly.
5. Rules of the network
Do not use Xoventra to: post false, misleading, or fraudulent information, including fabricated traction or credentials; impersonate a person, company, or fund; harass, threaten, or discriminate against anyone; scrape, crawl, or bulk-extract data; send unsolicited bulk messages; upload malware; probe or circumvent our security; or break any applicable law, including Nepal's securities, company, and anti-money-laundering rules.
We may remove content, restrict features, or suspend or terminate an account that breaches these rules. Where it is reasonable to do so, we will tell you why.
6. Introductions and messaging
Xoventra helps people find each other; what happens next is yours. Messages and connection requests are between the users involved. Treat information a founder or investor shares with you as confidential unless they have made it public, and do not forward it without permission.
7. Paid features
Core access is free. Where we charge - for enhanced access, visibility, or tooling - the price, billing period, and cancellation terms are shown before you pay. We never take a percentage of any raise or transaction. Fees are for access to the platform and are not contingent on any deal closing. Unless the law requires otherwise, fees already paid are non-refundable, and you can cancel at any time to stop future charges.
8. Availability
Xoventra is provided “as is” and “as available”. We are an early-stage product: features change, and there may be downtime, bugs, or data loss. To the fullest extent the law allows, we exclude implied warranties, and we are not liable for lost profits, lost opportunities, lost data, or any indirect or consequential loss. Where liability cannot be excluded, our total liability to you is limited to the greater of the fees you paid us in the twelve months before the claim, or NPR 10,000. Nothing here limits liability for fraud or for anything that cannot lawfully be limited.
9. Intellectual property
The Xoventra name, logo, interface, and code are ours. These terms give you no right to use our branding without written permission.
10. Ending your account
You can delete your account at any time from your profile settings. We may suspend or close an account for a breach of these terms, or if we are required to by law. Sections 3, 4, 8, 9, and 11 survive the end of your account.
11. Governing law
These terms are governed by the laws of Nepal, and the courts of Kathmandu have exclusive jurisdiction over any dispute. Before starting a claim, please contact us - most things are faster to fix by email.
12. Changes
We may update these terms as the product develops. If a change is material, we will give notice on the site or by email before it takes effect. Continuing to use Xoventra after that means you accept the updated terms.
